These Terms and Conditions apply to the HMC Ingredients website and online store. In these Terms, “HMC Ingredients,” “we,” “us,” and “our” refer to HIMCO Corporation, doing business as HMC Ingredients. “You” and “customer” refer to the person or business using the website or placing an order.

 

By using this website, creating an account, or placing an order, you agree to these Terms. If you do not agree, please do not use the website or place an order.

1. Website Use

You may use the HMC Ingredients website only for lawful purposes.

 

You may not:

  • Attempt to gain unauthorized access to the website, an account, or our systems;

  • Interfere with the operation or security of the website;

  • Upload or transmit viruses, malware, or harmful code;

  • Use another customer’s account without permission;

  • Provide false or misleading information;

  • Copy, scrape, or commercially reuse website content without our written permission; or

  • Use the website in a way that violates any law or harms HMC Ingredients or another person.

 

We may restrict or terminate access to the website if we reasonably believe these Terms have been violated.

2. Customer Accounts

You may place an order as a guest or through an account. Creating an account is optional unless we state otherwise for a specific feature or purchase. If you create an account, you are responsible for:

  • Providing accurate and current information;

  • Keeping your username and password confidential;

  • Restricting access to your account; and

  • Notifying us promptly if you believe your account has been accessed without permission.

 

You are responsible for activity conducted through your account unless prohibited by applicable law. We may suspend or close an account that we reasonably believe has been compromised, misused, or used in violation of these Terms.

3. Products and Product Information

Product information may be updated without notice.

 

HMC Ingredients sells bulk chemical products and ingredients, including products that may be used in cosmetic formulations.

 

We make reasonable efforts to provide accurate product descriptions, weights, package sizes, specifications, availability, and other information. However, packaging, labeling, color, odor, texture, viscosity, or appearance may vary between lots; and a product variation is not considered a defect if the product remains within the applicable manufacturer or supplier specifications.

 

Where available, product specifications such as a Certificate of Analysis, Safety Data Sheet, and other documents will be provided on the website or by request.

4. Customer Responsibility for Product Selection and Use

You are responsible for deciding whether a product is appropriate for your intended use. You acknowledge that it is your responsibility to obtain, review, understand, and comply with the most current Safety Data Sheet (SDS) for each product prior to use, storage, transportation, disposal, or resale.

 

Before using, formulating with, repackaging, or reselling a product, you are responsible for:

  • Reviewing the available product information and documentation;

  • Testing the product for your intended application;

  • Evaluating compatibility, stability, concentration, performance, and safety;

  • Following appropriate storage and handling practices; and

  • Complying with applicable laws, regulations, labeling requirements, and industry standards.

 

Unless HMC Ingredients expressly agrees otherwise in writing, product information and general assistance provided by HMC Ingredients are informational only. They are not legal, regulatory, medical, toxicological, or formulation advice.

 

HMC Ingredients does not manufacture, control, or approve finished products made with materials purchased from us. You are responsible for any product you formulate, manufacture, repackage, label, market, distribute, or sell using materials purchased from HMC Ingredients.

5. Prices

Prices are shown in U.S. dollars unless stated otherwise.

 

Prices may change without notice. The price charged for an order will be the price displayed at checkout when the order is submitted, subject to correction of errors.

 

Unless stated otherwise, displayed prices do not include:

  • Sales or use tax;

  • Shipping or delivery charges; or

  • Other charges clearly shown at checkout.

 

If a product is listed incorrectly because of a typographical, technical, or inventory error, HMC Ingredients may cancel the affected item or order. If payment has already been collected, we will refund the amount paid for the canceled item or order, up until shipment.

6. Orders and Acceptance

We may limit the quantity of a product that a customer may purchase.

 

Submitting an order is an offer to purchase the products in the order. An automated confirmation only means that we received your order. It does not necessarily mean that the order has been accepted. HMC Ingredients may accept, reject, limit, or cancel an order for a lawful business reason, including:

  • A product is unavailable;

  • Inventory information is incorrect;

  • A pricing or product-description error occurred;

  • Payment cannot be verified;

  • The shipping or billing information is incomplete or inaccurate;

  • We suspect fraud or unauthorized payment activity;

  • The order cannot be shipped to the requested address; or

  • An event outside our reasonable control prevents fulfillment.

 

If we cancel all or part of an order after collecting payment, we will refund the amount paid for the canceled portion.

7. Payment

Online orders must be paid in full at checkout.

 

You represent that:

  • The payment information you provide is accurate;

  • You are authorized to use the selected payment method; and

  • You authorize HMC Ingredients and its payment processor to charge the total shown at checkout.

 

We may delay or cancel an order if payment is declined, reversed, disputed, incomplete, or cannot be verified.

8. Sales Tax and Tax-Exempt Purchases

HMC Ingredients will collect applicable sales tax when required by law.

 

If you are purchasing products for resale or otherwise claim a tax exemption, you must provide a current and valid resale certificate, exemption certificate, or other documentation acceptable to HMC Ingredients and the applicable taxing authority.

 

Tax-exempt status is not automatic. HMC Ingredients must receive and approve the documentation before applying the exemption to eligible purchases. Creating an account or uploading a certificate does not guarantee approval.

 

Until an exemption is approved, applicable tax will be charged. HMC Ingredients is not required to refund tax from a completed order when exemption documents were submitted after the order was placed, except where required by law.

 

You are responsible for:

  • Ensuring that exemption documents are accurate and current;

  • Using the exemption only for qualifying purchases;

  • Renewing or replacing expired documents; and

  • Paying any tax, interest, penalty, or other amount resulting from inaccurate, expired, invalid, or improperly used exemption information.

 

HMC Ingredients may verify exemption documentation and may remove tax-exempt status if documentation expires or cannot be verified.

9. Shipping and Delivery

HMC Ingredients currently ships to addresses within the United States.

 

Shipping charges and available delivery methods will be shown at checkout. Delivery dates are estimates and are not guaranteed.

 

HMC Ingredients is not responsible for delays caused by carriers, weather, supply interruptions, incorrect addresses, or other circumstances outside our reasonable control.

 

You are responsible for providing a complete and accurate shipping address. Additional costs caused by an incorrect or incomplete address, refused shipment, unsuccessful delivery, or requested redelivery will be charged to you.

 

Unless otherwise stated at checkout, ownership and risk of loss pass to you when the order is delivered to the shipping address provided in the order. This provision does not limit any rights you may have under applicable law.

10. Inspecting Your Order

Please inspect your order promptly after delivery.

 

You must notify HMC Ingredients within 24 hours of delivery if:

  • A product is missing;

  • You received the wrong product;

  • The package arrived visibly damaged;

  • The quantity or package size is incorrect; or

  • The product appears not to match the applicable written specifications.

 

Send the notice to contact@hmcingredients.com and include:

  • Your order number;

  • The product name;

  • The lot number;

  • A description of the problem;

  • Photographs of the product, packaging, and shipping container; and

  • Any other information reasonably requested by HMC Ingredients.

 

Keep the affected product and all original packaging while we investigate. Do not use, alter, repackage, blend, discard, or resell the affected product unless HMC Ingredients instructs you otherwise.

11. Cancellations

Contact HMC Ingredients as soon as possible if you need to cancel an order.

 

Cancellation is not guaranteed after an order has been submitted. We may be unable to cancel an order once it has been shipped.

 

If we approve a cancellation before shipment, we will refund the amount paid for the canceled product(s). All other charges, such as shipping and handling, will not be refunded. Original payment-processing charges may be deducted only if allowed by law and clearly disclosed to you.

12. Returns

Because HMC Ingredients sells bulk chemical products and cosmetic ingredients, returns require prior written authorization. Do not ship a product back to HMC Ingredients until you receive return instructions and written approval. Unauthorized returns will be refused.

 

A return may be approved only if the product was incorrect, damaged before delivery, materially nonconforming, or otherwise not up to HMC Ingredients’ standard of quality.

 

The following products cannot be returned:

  • Opened or used products;

  • Products that have been repackaged, relabeled, blended, processed, or altered;

  • Products that were improperly stored or handled;

  • Contaminated products;

  • Clearance or final-sale products identified as non-returnable; and

  • Products damaged after delivery.

 

Refunds will be issued after the returned product has been received and inspected. Original shipping charges are nonrefundable, except as required by law. A 30% restocking fee applies to all approved returns.

13. Nonconforming or Incorrect Products

If HMC Ingredients confirms that it shipped the wrong product or that a product materially failed to meet the applicable written specifications when delivered, HMC Ingredients may, at its option:

  • Replace the affected product;

  • Refund the purchase price of the affected product; or

 

HMC Ingredients will require photographs, product samples, lot information, storage information, or the return of the affected product before approving a claim.

 

This section does not cover problems caused by improper storage, handling, contamination, alteration, misuse, formulation, processing, or use after delivery.

14. Limitation of Liability

To the fullest extent permitted by law, HMC Ingredients will not be liable for indirect, incidental, special, punitive, or consequential losses arising from the website, an order, or a product. This includes lost profits, lost production, business interruption, product recalls, loss of goodwill, or claims made against you by another party.

 

To the fullest extent permitted by law, HMC Ingredients’ total liability relating to an order or product will not exceed the amount you paid HMC Ingredients for the specific product giving rise to the claim.

 

These limitations do not apply where liability cannot lawfully be limited or excluded.

15. Customer Responsibility
for Claims Resulting From Customer Use

To the fullest extent permitted by law, you agree to protect and reimburse HMC Ingredients for third-party claims, losses, and reasonable costs resulting from:

  • Your violation of these Terms;

  • Your unlawful or improper use of a product;

  • Your storage, handling, processing, formulation, repackaging, labeling, resale, or disposal of a product;

  • A finished product manufactured, marketed, or sold by you;

  • Product claims or representations made by you; or

  • Your violation of applicable law or another party’s rights.

 

This section does not apply to the extent a claim is caused solely by HMC Ingredients’ gross negligence or intentional misconduct.

16. Events Outside Our Control

HMC Ingredients is not responsible for a failure or delay caused by circumstances outside our reasonable control, including severe weather, natural disasters, fires, government actions, transportation disruptions, carrier delays, supplier failures, labor disputes, utility failures, cybersecurity incidents, shortages, or supply-chain interruptions.

 

If one of these events affects an order, HMC Ingredients may delay, modify, or cancel the affected portion. If we cancel an item after collecting payment, we will refund the amount paid.

17. Website Content and Intellectual Property

The HMC Ingredients website and its content, including text, logos, graphics, photographs, product descriptions, documents, designs, and page layouts, are owned by HMC Ingredients or its licensors unless stated otherwise.

 

You may use the website and download product documents for legitimate internal or purchasing purposes. You may not copy, modify, publish, sell, distribute, or commercially exploit website content without written permission.

 

HMC Ingredients does not grant you permission to use its name, logo, trademarks, or product photographs in your own marketing unless we agree in writing.

18. Third-Party Services

The website may use or link to third-party services, including payment processors, shipping providers, and external websites.

 

HMC Ingredients does not control those third parties and is not responsible for their content, availability, security, or practices. Your use of a third-party service may be subject to that provider’s own terms and privacy policy.

19. Electronic Communications

By using the website, creating an account, or placing an order, you consent to receive electronic communications about your transactions, including:

  • Order confirmations;

  • Payment notices;

  • Invoices;

  • Shipping notifications;

  • Account notices; and

  • Customer-service communications.

 

Marketing emails will be handled separately and may be unsubscribed from as provided in those messages.

20. Privacy

HMC Ingredients’ collection and use of personal information are described in our separate Privacy Policy.

 

Please review the Privacy Policy before creating an account or placing an order.

21. Changes to These Terms

HMC Ingredients may update these Terms from time to time. Updated Terms will be posted on the website with a new effective date.

 

Changes will apply to future website use and future orders. The Terms in effect when an order is accepted will govern that order unless applicable law requires otherwise.

22. Governing Law

These Terms and purchases from HMC Ingredients are governed by the laws of the State of Florida, without regard to conflict-of-law rules.

 

To the extent permitted by law, any legal action relating to these Terms, the website, or an order must be brought in the state courts located in Hillsborough County, Florida, or the applicable federal court serving Hillsborough County.

23. Severability and No Waiver

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.

 

If HMC Ingredients does not enforce a provision on one occasion, that does not waive our right to enforce it later.

24. Entire Agreement

These Terms, the applicable order confirmation, any product-specific terms shown on the website, and HMC Ingredients’ Privacy Policy make up the agreement between you and HMC Ingredients concerning your website purchase.

 

Any conflicting terms in a customer purchase order, email, form, or other document do not modify these Terms unless HMC Ingredients expressly agrees to the change in writing.
